    The firm represented a large Greenwich developer in a commercial loan transaction related to the redevelopment of a parcel of land in the Byram area of Greenwich from commercial use to residential condominiums. The firm also represents the developer in the ongoing formation and development of the same residential condominium complex, which includes a marina and boardwalk.

    Kevin A. Walsh, a member of the Board of Directors of Family Centers, Inc., represented Family Centers on a pro bono basis in connection with the merger of HealthCare Connections, Inc. into Family Centers effective July 1, 2008.  Family Centers is a non-profit organization headquartered in Greenwich, CT offering education and human services to children, adults and families living in Lower Fairfield County. HealthCare Connections, a nonprofit organization based in Stamford, CT, maintains four programs – the School Based Health Centers, Stamford CARES, Care to Care and the TLC Health Center at Kids in Crisis – which will remain intact.  HealthCare Connections was represented on a pro bono basis by David Salm from Oracle Corp.

The firm successfully defended clients against claims for damages and injunctive relief at the Connecticut state trial and appellate court levels. The claims arose out of the sale of a Connecticut corporation. After trial, the Superior Court found that the plaintiff was not entitled to credits against the purchase price and had not tendered certain funds pursuant to the early payoff provision in the subject promissory note. The plaintiff was therefore found to not be entitled to a release of the security on the note and, consequently, not entitled to damages or a judgment that he was no longer liable to defendants for further payments under the note. The Appellate Court affirmed this holding in a decsion released March 11, 2008.

    The firm represented a seller in a purchase and sale transaction of a $30 million residential property in Greenwich, which to that date was the highest priced sale of a single parcel of residential property in Greenwich.

The Firm represented the owners of Public Energy Solutions (“PES”) in a sale of PES to Comverge, Inc., a public company involved in energy conservation and load management businesses.  Kevin Walsh was assisted by Katherine Dowd in closing the $13.4 million transaction, which also provides for further cash payments and stock distributions if future revenue and earnings targets are met.

Will capital demands change the regulatory structures?” The program was held at the Annual Spring Meeting of the ABA 's Section of Public Utility, Communications and Transportation Law in Washington , D.C. , on April 10, 2006 .

The Firm won a substantial damage award for its client in a case involving mental incapacity and estate administration issues.

 

 

The Firm represented the decedent's son, who alleged that his mother, while mentally incapacitated, had been induced to transfer assets worth more than $1 million. After a multi-day trial involving lay and expert testimony, the Superior Court ruled in favor of the Firm's client with respect to all of the transactions at issue.

In a significant transaction for Westchester County, the Firm represented an Estate client in a transaction that resulted in the transfer, and the preservation as open land, of 400 acres to a group composed of the Westchester Land Trust, the Town of Lewisboro and New York City.

 

 

This transaction continues the Firm's involvement in major transactions involving the preservation of open space parcels, including regulatory approvals obtained on behalf of a water company client in 2002 for the transfer of fee simple title and conservation easements in 18,316 acres of land in 28 municipalities to the State of Connecticut and the Nature Conservancy, the largest open space transaction in state history.

Our Corporate Department recently completed the divestiture of SND Electronics, Inc. based in Greenwich, Connecticut, from its German parent, ce Consumer Electronic AG.

 

 

Ce is publicly traded on the German stock market and issued an Ad-Hoc disclosing the divestiture in October, 2005. SND and ce operated an integrated electronic chip brokerage business with locations throughout the Americas, Europe and Asia. The legal aspects of the worldwide divestiture were coordinated through our Greenwich office. The companies will continue their respective operations independently.

Whitman Breed was pleased to represent the Greenwich Family YMCA in the August 1, 2005 issuance of $20,165,000 State of Connecticut Health and Educational Facilities Authority Revenue Bonds, Greenwich Family YMCA Issue, Series A (the “Bonds”).

 

 

The Bonds were secured by a Letter of Credit issued by The Bank of New York. The Bond proceeds are being used to expand and renovate the Y’s facilities, including adding a new Olympic-size swimming pool, renovating the existing historic building and building a new childcare center.

In a case of national interest to the utility industry, the Connecticut Siting Council approved a 69 mile 345 kV transmission project proposed by The Connecticut Light & Power Company and The United Illuminating Company to address power system inadequacies in Southwestern Connecticut, one of the country’s most energy-congested areas.

 

 

The project will include 24 miles of extra high voltage underground cable, the longest such cable segment in the United States. Tony Macleod successfully represented ISO-New England Inc., which operates the New England bulk power grid, in developing and litigating key issues of power system reliability, technological feasibility, and underground transmission cable alternatives. The proceeding, one of the most complex in Siting Council history, involved close to 50 parties and intervenors, including 21 towns and numerous state legislators. The Vermont Public Service Board recently approved Vermont Electric Power Company’s $128 million Northwest Vermont Reliability Project.

 

 

Tony Macleod successfully represented ISO-New England Inc., which operates the New England bulk power grid, in developing and litigating key issues of system need, power system reliability, national and regional reliability criteria and underground transmission cable technology. The Project is one of the most significant power system upgrades ever approved in Vermont .
