Recently, Harry Peden III advised members of an histrocially significant waterfront association with regard to expanding and updating use and other property restrictions for homeowners in the community, a measure designed to maintain the quality of life and ultimately the value of properties within the association. |

Walsh, a member of the Board of Directors of Family Centers, Inc., represented Family Centers on a pro bono basis in connection with the merger of HealthCare Connections, Inc. into Family Centers effective July 1, 2008. Family Centers is a non-profit organization headquartered in Greenwich, CT offering education and human services to children, adults and families living in Lower Fairfield County. HealthCare Connections, a nonprofit organization based in Stamford, CT, maintains four programs – the School Based Health Centers, Stamford CARES, Care to Care and the TLC Health Center at Kids in Crisis – which will remain intact. HealthCare Connections was represented on a pro bono basis by David Salm from Oracle Corp. |

The Firm successfully defended clients against claims for damages and injunctive relief at the Connecticut state trial and appellate court levels. The claims arose out of the sale of a Connecticut corporation. After trial, the Superior Court found that the plaintiff was not entitled to credits against the purchase price and had not tendered certain funds pursuant to the early payoff provision in the subject promissory note. The plaintiff was therefore found to not be entitled to a release of the security on the note and, consequently, not entitled to damages or a judgment that he was no longer liable to defendants for further payments under the note. The Appellate Court affirmed this holding in a decsion released March 11, 2008.

The Firm effected dismissal of claims brought by a group of payphone operators against the City of Bridgeport, which were made pursuant to the Federal Telecommunications Act of 1996. The decision created new law in the District of Connecticut and Second Circuit regarding private rights of action under the FTA.

After a three-day hearing before the Connecticut Superior Court, the Firm won the discharge of a large mechanic's lien. The builder appealed, but failed to effect a timely stay of the discharge order pursuant to the relevant lien statute. The Firm moved to dismiss the appeal, arguing a lack of subject matter jurisdiction and due process grounds. The Connecticut Supreme Court adopted the Firm's position and dismissed the appeal.

in a case involving mental incapacity and estate administration issues.

The Firm represented the decedent's son, who alleged
that his mother, while mentally incapacitated, had been induced to
transfer assets worth more than $1 million. After a multi-day trial
involving lay and expert testimony, the Superior Court ruled in
favor of the Firm's client with respect to all of the transactions
at issue.

In a significant transaction for Westchester County,
the Firm represented an Estate client in a transaction that
resulted in the transfer, and the preservation as open land, of 400
acres to a group composed of the Westchester Land Trust, the Town
of Lewisboro and New York City.

This
transaction continues the Firm's involvement in major transactions
involving the preservation of open space parcels, including regulatory
approvals obtained on behalf of a water company client in 2002 for
the transfer of fee simple title and conservation easements in
18,316 acres of land in 28 municipalities to the State of
Connecticut and the Nature Conservancy, the largest open space
transaction in state history.

Our Busienss Law Department recently completed the
divestiture of SND Electronics, Inc. based in Greenwich,
Connecticut, from its German parent, ce Consumer Electronic AG.

Ce is
publicly traded on the German stock market and issued an Ad-Hoc disclosing
the divestiture in October, 2005. SND and ce operated an integrated
electronic chip brokerage business with locations throughout the
Americas, Europe and Asia. The legal aspects of the worldwide
divestiture were coordinated through our Greenwich office. The
companies will continue their respective operations independently.

secured by a Letter of Credit issued by The Bank of New York. The
Bond proceeds are being used to expand and renovate the Y’s
facilities, including adding a new Olympic-size swimming pool,
renovating the existing historic building and building a new childcare
center.

Acting as pro bono counsel, John T. Shaban represented an indigent individual who had lost his commercial property due in part to its alleged contamination from a municipal landfill and former Superfund site. The client, however, had already lost in state court, where he had brought a claim against the municipality. John asserted a new claim for the client in federal court, arguing that the state court decision was not res judicata against a new CERCLA claim based on jurisdictional inadequacy in state court and a remedial reading of the federal statute. The Court permitted the case to proceed and established new federal precedent in the District of Connecticut.
